About eBizRecord

eBizRecord is a business management and ERP platform designed to help businesses manage their operations, records, workflows, and related business activities. Features and availability may vary depending on the subscription plan, configuration, deployment, and services selected by the customer.

Eligibility & Account Registration

• You must provide accurate and reasonably complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for activities carried out through your account.
• You must promptly notify us if you believe your account has been compromised.
• You must not use another person's account without authorization.

Acceptable Use

You agree not to use eBizRecord to:

• Violate applicable laws, regulations, or third-party rights.
• Attempt to gain unauthorized access to the Service, another account, or our infrastructure.
• Upload malicious code, viruses, or other harmful material.
• Interfere with, disrupt, or place unreasonable load on the Service.
• Use the Service for fraudulent, deceptive, abusive, or unlawful activities.
• Reverse engineer or attempt to extract source code except where expressly permitted by law.
• Use automated means to abuse, scrape, or substantially interfere with the Service.

Your Business Data

You retain responsibility for the business and other information that you submit to eBizRecord ("Customer Data"). You are responsible for ensuring that you have the necessary rights, permissions, and lawful basis to provide Customer Data to us and use it through the Service.

You authorize NDD Global Ltd to process Customer Data as reasonably necessary to provide, secure, maintain, support, and improve the Service, subject to our Privacy Policy and any applicable agreement between you and us.

Subscriptions & Billing

Some eBizRecord features require a paid subscription. Pricing, billing intervals, included features, and applicable taxes or charges will be presented to you when you subscribe.

Supported payment methods may include Paystack, bank transfer, cryptocurrency, and Binance-related payment arrangements. Payment transactions may be processed by third-party payment providers and may be subject to their own terms.

Unless otherwise stated at the time of purchase, subscription fees are payable in advance. Failure to complete payment may result in suspension or termination of access to paid features.

Free Trials

Where a free trial is offered, the duration and included features will be communicated at signup or during the applicable promotion. Unless otherwise stated, access to paid features may end when the trial period expires if the account has not been activated under a paid plan. We may modify or discontinue trial offers at any time, subject to applicable law.

Service Availability

We aim to keep eBizRecord available and reliable, but we do not guarantee uninterrupted, error-free, or continuously available service.

Service availability may be affected by maintenance, upgrades, infrastructure failures, third-party services, internet connectivity, security incidents, force majeure events, or circumstances outside our reasonable control.

Third-Party Services

eBizRecord may integrate with or rely on third-party services, including cloud infrastructure, payment providers, analytics services, email/SMTP services, and external integrations. Third-party services are subject to their own availability, terms, and policies. We are not responsible for failures or changes caused solely by a third-party service.

Intellectual Property

Except for Customer Data and other materials owned by you or third parties, eBizRecord, including its software, interface, branding, designs, documentation, content, and related intellectual property, is owned by or licensed to NDD Global Ltd and is protected by applicable intellectual property laws.

These Terms do not transfer ownership of eBizRecord or its intellectual property to you. We grant you a limited, non-exclusive, non-transferable right to use the Service during your active subscription or authorized access period.

Feedback

If you provide suggestions, ideas, feature requests, or other feedback about eBizRecord, you grant us permission to use that feedback to improve or develop our products and services without an obligation to compensate you, provided that we do not disclose confidential Customer Data in doing so.

Suspension & Termination

We may suspend or restrict access where reasonably necessary to protect the Service, our users, or third parties; to address security or abuse concerns; to comply with law; or where payment obligations are overdue.

You may stop using the Service or request closure of your account at any time, subject to outstanding payment obligations and any applicable contractual terms. Following termination, access to the Service may cease and Customer Data may be handled in accordance with our Privacy Policy and applicable retention requirements.

Disclaimers

To the extent permitted by applicable law, eBizRecord is provided on an "as available" and "as is" basis. We do not warrant that the Service will always be uninterrupted, completely secure, or free from errors, or that it will satisfy every particular business requirement.

eBizRecord is a business software platform and does not constitute legal, accounting, tax, financial, medical, or other professional advice. You remain responsible for your business decisions and for reviewing outputs generated or stored through the Service.

Limitation of Liability

To the maximum extent permitted by applicable law, NDD Global Ltd will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or data arising from or related to your use of the Service.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless NDD Global Ltd and its officers, employees, contractors, and service providers from claims, losses, liabilities, and reasonable expenses arising from your unlawful use of the Service, violation of these Terms, or infringement of another person's rights.

Changes to the Service or Terms

We may modify, enhance, suspend, or discontinue portions of eBizRecord as our products evolve. We may also update these Terms from time to time. Material changes may be communicated through the Service or other reasonable means. Continued use of eBizRecord after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

Governing Law

These Terms are governed by the laws applicable in the Federal Republic of Nigeria, without prejudice to any mandatory consumer or data-protection rights that may apply to users in other jurisdictions.

Any dispute should first be addressed through good-faith discussions with NDD Global Ltd. Where a dispute cannot be resolved amicably, it may be referred to a court or other dispute-resolution forum with appropriate jurisdiction.

Entire Agreement

These Terms, together with any applicable order, subscription terms, service-specific agreement, and our Privacy Policy, form the agreement governing your use of eBizRecord, except where a separate written agreement expressly supersedes or modifies these Terms.
